These Terms of Service ("Terms") govern your use of the RosterPay platform, operated by PJ Publishing, LLC ("Company," "we," "us," or "our"). By creating an account or using RosterPay, you agree to these Terms.

Please read these Terms carefully. They include important information about your rights, our limitations of liability, and how disputes are resolved.

1. Acceptance of Terms

By accessing or using RosterPay (the "Platform" or "Service") at rosterpay.io, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

If you are using RosterPay on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and that "you" refers to both you and that organization.

You must be at least 18 years of age to create an account or use the Service as an organization administrator or parent/guardian.

2. Description of Service

RosterPay is a payment management platform designed for youth and travel sports organizations. The Service enables:

  • Organizations to create seasons and collect fees from families
  • Flexible installment payment plan options for families
  • Automated payment reminders and notifications
  • Roster management and cleared-to-play tracking
  • Real-time collection reporting for organization administrators

3. Account Registration and Responsibilities

To use RosterPay, you must register for an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Promptly notifying us of any unauthorized access or security breach at support@rosterpay.io
  • Providing accurate, current, and complete information during registration and keeping it updated
  • Ensuring that players and families you add to the platform have provided consent to their information being shared with RosterPay

You may not share your account with others or create accounts for unauthorized purposes.

4. Payment Processing

All payment processing on RosterPay is performed by Stripe, Inc., a third-party payment processor. By using RosterPay's payment features, you also agree to Stripe's Terms of Service and Stripe's Connected Account Agreement.

Organizations connecting their bank accounts to receive payments must complete Stripe's identity verification process (KYC). RosterPay has no control over Stripe's onboarding requirements and is not liable for delays or rejections in the verification process.

Settlement timing for funds collected through RosterPay is subject to Stripe's standard settlement schedules, which are typically 2 business days for standard accounts. RosterPay does not hold or control your funds; they are managed by Stripe.

5. Platform Fees

RosterPay does not charge organizations any platform fees. Processing fees are charged to families at the time of payment and are displayed clearly at checkout before any transaction is completed.

We reserve the right to modify our fee structure with 30 days' advance notice to active organization accounts. Continued use of the platform after a fee change constitutes acceptance of the new fees.

6. Refund Policy

Important: RosterPay is a payment infrastructure platform. Refund decisions for season fees are made entirely by the sports organization, not by RosterPay.

Organization-controlled refunds: Decisions about whether to issue refunds for season fees — and the amount of any refund — are made solely by the sports organization. RosterPay provides refund processing tools for organizations to use at their discretion, but RosterPay does not set or enforce any refund policy on behalf of organizations.

Processing fee refunds: Payment processing fees (3.9% + $0.30 per card transaction or $5 flat for ACH) are generally non-refundable, as these represent costs charged to RosterPay by Stripe. In the event of a full refund approved by the organization, the processing fee may or may not be refunded depending on the circumstances.

Contact your organization: If you are a parent or guardian seeking a refund for a season fee, please contact the sports organization that collected the payment. RosterPay cannot authorize or process refunds on behalf of organizations without their instruction.

Errors or unauthorized charges: If you believe a charge was made in error or without authorization, contact us at support@rosterpay.io immediately.

7. Organization Responsibilities

As an organization using RosterPay, you are responsible for:

  • Clearly communicating your season fees, refund policies, and payment terms to families before they enroll
  • Ensuring that families provide consent to have their payment information processed through Stripe
  • Complying with all applicable laws, including consumer protection laws, when collecting payments from families
  • Maintaining accurate roster information and notifying RosterPay of any disputes or errors
  • Handling refund requests from families in accordance with your stated policies
  • Not using RosterPay to collect fees for illegal or unauthorized activities
  • Ensuring that adult guardians — not minors — enroll and pay for their children's participation

8. Acceptable Use

You agree not to use RosterPay to:

  • Collect payments for fraudulent, deceptive, or illegal purposes
  • Impersonate another person or organization
  • Violate any applicable law, regulation, or third-party rights
  • Transmit harmful, offensive, or unlawful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated tools to scrape, crawl, or extract data from the platform without permission
  • Interfere with or disrupt the integrity or performance of the Service
  • Collect payments for purposes other than legitimate sports organization fees

We reserve the right to suspend or terminate accounts that violate these acceptable use standards, with or without notice.

9. Intellectual Property

RosterPay and all related content, features, and functionality (including but not limited to the software, design, text, graphics, logos, and icons) are owned by PJ Publishing, LLC and are protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purposes. You may not reproduce, distribute, modify, create derivative works of, or exploit any part of the Service without our express written permission.

You retain ownership of any data you upload to RosterPay (such as roster information and organization details). By uploading data, you grant us a license to use that data solely to provide the Service to you.

10. Privacy

Your use of RosterPay is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, PJ Publishing, LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure at all times
  • Any errors or defects in the Service will be corrected
  • The results obtained from using the Service will be accurate or reliable
  • Payment processing will always succeed or be free of delay

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PJ PUBLISHING, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, without limitation, damages for:

  • Loss of profits, revenue, or data
  • Payment failures or processing errors caused by Stripe or third-party services
  • Unauthorized access to your account
  • Service interruptions or downtime
  • Actions of other users on the platform

In any case, our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of: (a) $100 USD, or (b) the amount you paid to RosterPay in the 12 months preceding the claim. (Note: since organizations use RosterPay for free, this cap may be $100.)

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless PJ Publishing, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of RosterPay in violation of these Terms
  • Your organization's collection of fees from families
  • Any dispute between your organization and the families you serve
  • Your violation of any applicable law or third-party rights
  • Any false or misleading information you provide to RosterPay

14. Termination

By you: You may close your account at any time by contacting us at support@rosterpay.io. Closing your account does not automatically cancel any active payment plans for enrolled families. You remain responsible for ensuring families are properly notified of any season changes.

By us: We reserve the right to suspend or terminate your account at any time, with or without cause or notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion.

Effect of termination: Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.

Any funds in transit through Stripe at the time of termination will continue to be processed according to Stripe's standard procedures.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of [State], without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.

Class action waiver: You agree that any arbitration shall be conducted on an individual basis and not as a class action or other representative proceeding.

Exception: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

If any provision of this arbitration clause is found unenforceable, that provision shall be severed and the remaining provisions shall remain in effect.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify active users by email or by displaying a prominent notice on the platform at least 14 days before the changes take effect.

Your continued use of RosterPay after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and close your account.
